Terms & Conditions

This Agreement ("Agreement") is a legal agreement between you ("Client") and Regz Lk ("Developer", "We", "Our"). By using this service or making payment, you agree to all the following conditions.

1. Services

We provide the following services:

Website Development
Web Application Development
Custom Software Development
API Development
UI/UX Design
System Integration
Bug Fixes
Maintenance Services
Digital Solutions

2. Payment

2.1 Advance Payment

Advance payment must be made before starting the project. The amount of advance payment depends on the size of the project.

2.2 Final Payment

Project delivery is made after final payment is complete. If final payment is not made, Source Code, Files, Hosting Access or Domain Transfer will not be provided.

2.3 Payment Settlement

If the client cannot make full payment at once, they can agree to a three-month payment settlement plan with the developer. This plan must be confirmed in writing between the developer and the client. After agreeing to the payment plan, if payments are not made on the due date, the developer has the right to stop project delivery or cancel the license.

2.4 No Refund Policy

All payments are final and no refund is given for any reason. Even if the project is stopped in between, the money paid by the client will not be refunded. Since the developer allocates time and resources for the work after taking over the project, refunds are not provided.

3. Copyright and Intellectual Property

All Copyright, Intellectual Property Rights, Source Code Ownership, Frameworks, Modules, Libraries, Templates and Core System Design of this project are entirely owned by Regz Lk.

Even if the client makes full payment for the project, Copyright Ownership remains with the developer.

The client is only given a license to use the project.

4. License

The license provided by the developer to the client is as follows:

Perpetual
Non-Exclusive
Non-Transferable
Non-Sub Licensable
Internal Business Use Only

5. What Client is Allowed to Do

The client can do the following:

Use the website for their business
Host the website on their domain
Change hosting provider
Change website content
Change images, products, prices, articles
Use admin panel
Use software only for their business

6. What Client is Prohibited from Doing

The client is completely prohibited from doing the following:

Selling source code
Giving source code to another person
Making source code GitHub public
Reselling source code
Copying the project
Cloning the project
Selling the project as a template
White labeling the project
Modifying the project and giving it to another client
Selling the project to another company
Commercial distribution of the project
Redistribution of the project
Sublicensing the project
Removing developer copyright notice
Removing developer logo (unless otherwise stated in the agreement)
Reverse engineering the project
Modifying core system and reselling

7. Third Party Developer

The client can hire another developer for maintenance.

However, they are prohibited from copying, reselling, cloning, or commercially distributing the project.

8. Updates and Modifications

8.1 Free Update Period (3 Months)

From the project delivery date, for a period of three months, updates and modifications requested by the client are done free of charge. During this period, all requests made by the client (Feature Requests, Design Changes, Content Updates, Functionality Improvements) are done free of charge by the developer. The free update period also includes bug fixes and security patches.

8.2 After 3 Months

After the 3-month free update period ends, a fee (price) is charged for all updates and modifications requested by the client. The fee for each request is determined by the developer based on the complexity, time, and resources of that task. The client is informed about the fee, and the changes are made only after the client agrees to that fee.

8.3 Small Developments

For small developments (e.g., one small bug fix, text change, minor styling change), no fee is charged even after the 3-month free period. The developer may decide whether to charge or not charge for small changes at their discretion. If small changes accumulate in large quantities, they may be considered as a large update and a fee may be charged.

9. Hosting and Domain

9.1 Client Responsibility

All expenses for hosting and domain must be paid by the client. If the developer provides hosting or domain, the client must make payments for those services. The developer is not responsible for hosting provider issues, server down, data center failure, network failure, or DNS failure.

9.2 Hosting and Domain Renewal

If payments for hosting and domain renewal are not made on time by the client, the developer is not responsible for any loss (data loss, website downtime, domain loss) caused by this. If the client uses their own hosting provider, the client is responsible for agreements with that hosting provider.

9.3 Domain Transfer

If domain transfer is required, that task must be done by the client, and the expenses for it must be borne by the client. The developer can assist with domain transfer, but is not responsible for the success or failure of that task.

10. Maintenance

If there is no maintenance agreement, the developer is not obligated to provide free support.

Bug fixes and security updates are included within the 3-month free update period.

11. Warranty

From the delivery date, for a period of three months, the developer fixes software bugs free of charge.

Feature requests are not included in the warranty (they are included in the free update period).

After the warranty period ends, a fee may be charged for bug fixes.

12. Client Responsibilities

The client is fully responsible for the content they provide:

Images
Videos
Logos
Documents
Content

The client must guarantee that they have all copyrights and licenses for the content they provide.

13. Third Party Services

The developer is not responsible for changes in third-party services such as Google, Cloudflare, Meta, WhatsApp, Stripe, PayHere, Firebase, OpenAI, GitHub, VPS Providers, PayPal, Amazon Web Services (AWS), Microsoft Azure, Cloud Services.

The developer is not responsible for any impact caused by changes in policies, pricing, availability, or features of third-party services.

14. Confidentiality

Both the developer and the client must keep business information confidential.

All information disclosed under this agreement (business plans, financial data, customer data, technical information, source code) must be kept confidential and not disclosed to any third party without permission.

15. Limitation of Liability

The developer is not responsible in any case for:

Business loss
Profit loss
Revenue loss
Data loss
Reputation damage
Indirect damage
Consequential damages
Loss of opportunity

The developer's total liability is limited to the total amount paid by the client.

16. License Termination

The license can be terminated in the following situations:

Violation of terms
Unauthorized reselling
Source code distribution
Copyright violation
Commercial redistribution
Non-payment
Violation of any provision of the agreement

After the license is terminated, the client must immediately stop using the project and delete all source code and files.

17. Legal Action

In case of agreement violation, the developer has the right to take civil legal action under the applicable laws of Sri Lanka.

The developer can request injunction, compensation, damages, and other legal relief.

All expenses related to legal action (legal fees, court fees, attorney fees) must be borne by the offending party.

18. Dispute Resolution

Any dispute arising from this agreement should first be attempted to be resolved through discussion.

If discussions fail, the dispute can be resolved under the relevant court jurisdiction in Sri Lanka.

19. Governing Law

This agreement is governed by the laws operating in Sri Lanka.

20. Entire Agreement

This agreement is the complete agreement between the developer and the client, and supersedes any other verbal or written agreement.

21. Severability

If any provision of this agreement is considered illegal or unenforceable, the remaining provisions will remain in force.

22. Waiver

The developer not enforcing any provision of this agreement is not considered a waiver of that provision.

23. Changes

The developer has the right to change these terms at any time.

The client will be informed about the changes.

24. Acceptance

By making payment or using the service, the client is considered to have fully accepted this agreement.
